These Terms and Conditions of Use (the "Terms") govern access to and use of the website https://sfero.es (the "Website"), owned and operated by SFERO REAL ESTATE, S.L. ("SFERO", "we", "us" or "the Company"). By accessing, browsing or using the Website, you ("the User") accept these Terms in full. If you do not agree with any part of these Terms, you must refrain from using the Website. These Terms apply in addition to, and should be read together with, our Legal Notice, Privacy Policy and Cookie Policy, all of which are incorporated by reference and available on the Website.

2. Scope and Acceptance

Use of the Website is open to persons who are legally capable of entering into binding contracts under Spanish law. Access to the Website is free of charge, save for the cost of the User's own internet connection. These Terms may be modified at any time; the version published on the Website at the time of each visit shall apply. Continued use of the Website after any update constitutes acceptance of the revised Terms, which is why Users are encouraged to review this page periodically.

3. User Obligations

By using the Website, the User undertakes to:

  • Provide truthful, accurate and up-to-date information whenever requested through contact forms, enquiries, viewing requests or registration processes;
  • Use the Website, its contents and any related services in good faith, in accordance with the law, public order, good customs and these Terms;
  • Not reproduce, copy, distribute, publicly communicate, transform or otherwise commercially exploit any content, listing, photograph, floor plan or other element of the Website without SFERO's prior written authorisation;
  • Not introduce viruses, malware or any element liable to cause damage to the Website or to third parties, nor attempt unauthorised access to restricted areas, servers or databases;
  • Not use the Website to send unsolicited commercial communications (spam), nor to post unlawful, defamatory, offensive content or content that infringes third-party rights;
  • Refrain from any conduct that could impair the availability, integrity or security of the Website.

Breach of these obligations may result in suspension or termination of the User's access to the Website, without prejudice to any other legal action available to SFERO.

4. Services Offered

Through the Website, SFERO provides information about, and acts as intermediary in connection with, the following real estate services in Spain:

  • Sales brokerage: intermediation between owners and prospective buyers in the purchase and sale of residential, commercial and investment properties;
  • Residential and commercial leasing: management of tenancy agreements governed by Law 29/1994, of 24 November, on Urban Leases (LAU), including long-term, seasonal, furnished and short-term rentals, subject in each case to applicable Valencian tourist-accommodation regulation where relevant;
  • Off-plan and new-build developments: marketing of units under construction or development, on behalf of owner-developers, subject to the specific safeguards described in Section 6 below;
  • Ancillary advisory services: non-binding referral to mortgage intermediaries, notaries and other professionals; SFERO does not itself grant financing and receives no advice fee from the User for such referrals unless separately agreed in writing.

The specific terms of each transaction (price, conditions, deadlines, obligations of the parties) are set out in the corresponding reservation, deposit, brokerage or tenancy agreement signed by the parties, and prevail over any general description given on the Website in the event of conflict.

5. Property Listings and Information Accuracy

Property listings, prices, descriptions, floor plans, surface areas, energy-performance data and photographs published on the Website are provided for general information purposes only and do not constitute a binding offer, contract or guarantee of accuracy. Measurements, distances and images (including virtual staging or renders for off-plan units) are approximate and illustrative. No agent or representative of SFERO is authorised to make representations about a property beyond those confirmed in writing by the owner or developer. Users are advised to verify all material information, including registry and cadastral data, before entering into any binding commitment.

6. Reservation Deposits, Earnest Money (Arras) and Guarantees

Where a User wishes to reserve a property, SFERO may, acting on behalf of the owner, receive a reservation deposit or earnest money (arras) into a client account held separately from the Company's own assets, in accordance with the financial-guarantee requirements applicable to real estate intermediaries in the Valencian Community. Unless the applicable reservation or arras contract states otherwise:

  • Amounts paid as penitential earnest money (arras penitenciales) are governed by Article 1454 of the Civil Code: the buyer forfeits the amount paid if the sale fails for reasons attributable to the buyer, and the seller must return double the amount if the sale fails for reasons attributable to the seller;
  • Consumers have a statutory withdrawal period where applicable under Royal Legislative Decree 1/2007 (Consumer Protection Act), which will be stated expressly in the relevant contract where it applies;
  • For off-plan and under-construction properties, sums paid on account are subject to the advance-payment guarantee regime under the Building Planning Law (Ley 38/1999, LOE) and Law 57/1968; SFERO will confirm, prior to any payment, whether such guarantees (bank guarantee or insurance policy) are in place and will not accept advance payments for off-plan units where this cannot be confirmed.

7. Security Deposits (Fianzas) in Leasing

In residential leases subject to the LAU, the mandatory security deposit (fianza) equivalent to one month's rent (or two months' rent for non-residential leases) must be lodged by the landlord with the relevant public body of the Generalitat Valenciana, in accordance with Decree 98/2022 and related Valencian regulation. SFERO will inform the landlord of this obligation and may assist with the lodging process as agreed in the corresponding property-management or brokerage contract, but the lodging obligation itself remains that of the landlord as the legal titleholder of the deposit.

8. Fees and Commission

SFERO's intermediation fees and commission are agreed separately in the corresponding brokerage or property-management contract signed with the owner and/or the buyer or tenant, as applicable, and are not altered by these Terms. Unless expressly agreed otherwise, commission becomes due and payable upon completion of the transaction (execution of the public deed of sale or signing of the lease agreement) and is stated exclusive of VAT (IVA), which is added where legally applicable.

9. Intellectual Property

All content on the Website – including text, photography, floor plans, video, logos, icons, software, databases and source code – is owned by or licensed to SFERO and is protected by Spanish and EU intellectual and industrial property law. No licence or right is granted to the User other than the limited right to view the Website for personal, non-commercial purposes. Any other use requires SFERO's prior written authorisation, as further detailed in our Legal Notice.

10. Data Protection and Cookies

Personal data submitted through the Website is processed in accordance with our Privacy Policy, available on the Website, and with the GDPR and Organic Law 3/2018 (LOPDGDD). The use of cookies and similar technologies is governed by our Cookie Policy, which allows Users to configure their preferences in line with the criteria published by the Spanish Data Protection Agency (AEPD).

11. Third-Party Links

The Website may contain links to third-party websites (portals, social media, mapping services, mortgage simulators, etc.) provided for the User's convenience. SFERO does not control and is not responsible for the content, accuracy, availability or privacy practices of such external sites, and their inclusion does not imply any endorsement.

12. Limitation of Liability

SFERO does not guarantee uninterrupted availability of the Website or the total absence of errors, and shall not be liable for damages arising from:

  • service interruptions caused by technical failures, maintenance or force majeure;
  • viruses or other harmful elements introduced by third parties;
  • unlawful or fraudulent use of the Website by third parties;
  • inaccuracies in information supplied by Users or by owners/developers and reproduced in good faith on the Website;
  • decisions taken by a User based solely on Website content, without independent verification or professional advice.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Spanish law, including liability for wilful misconduct (dolo) or gross negligence, or statutory consumer-protection rights.

13. Suspension and Termination

SFERO may suspend, restrict or terminate a User's access to the Website, in whole or in part, where it reasonably considers that the User has breached these Terms or applicable law, without prejudice to any other remedy available to SFERO.

14. Complaints and Alternative Dispute Resolution

Consumers may address complaints to SFERO via [email protected], or submit them to the Consumer Arbitration Board of the Valencian Community (Junta Arbitral de Consumo) where SFERO is adhered to such scheme, or to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force, and the invalid provision shall be replaced by a valid one that most closely reflects its original intent.

16. Governing Law and Jurisdiction

These Terms are governed by Spanish law. Any dispute arising from access to or use of the Website shall be submitted, with express waiver of any other jurisdiction, to the Courts of Valencia, save for consumer disputes, which shall be submitted to the courts of the User's domicile where mandatory consumer-protection law so requires.
